Latch Back Office LLC ("Latch," "we," "us," or "our") is committed to protecting the privacy and security of your personal information. This Terms of Service page describes how we collect, use, disclose, and safeguard your information when you visit our website at golatch.com, use our bookkeeping, payroll, tax filing, and financial management services, or otherwise interact with us.

By accessing or using our services, you agree to these terms. If you do not agree with the terms, please do not access or use our services.

1. Acceptance of Terms

By accessing golatch.com or using any services provided by Latch Back Office LLC ("Latch," "we," "us," or "our"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use our services. Mobile carriers are not liable for delayed or undelivered messages. SMS communications are intended for individuals 18 years of age or older.

2. Services Provided

Latch provides bookkeeping, payroll, tax filing, fractional CFO, and financial management services to small and mid-sized businesses. Specific services are defined in a separate service agreement or proposal signed by both parties. Latch reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. SMS and Text Message Communications

Latch Back Office LLC sends SMS messages to users who have explicitly opted in via our website booking form at golatch.com/contact. Messages include weekly financial updates, receipt confirmations, account notifications, and responses to your questions about your books.

  • How to opt in: Check the SMS consent checkbox on our booking form at golatch.com/contact.
  • Message frequency: Varies. Typically 1–4 messages per week.
  • Message and data rates may apply.
  • To opt out: Reply STOP at any time.
  • To get help: Reply HELP. You can also contact us at support@golatch.com.
  • Age restriction: SMS communications are intended for individuals 18 years of age or older.
  • No sharing: We do not sell, rent, or share your phone number or SMS opt-in data with third parties for their marketing purposes.

4. Fees and Payment

Fees for services are outlined in your service agreement. Payment is due as specified therein. Latch reserves the right to suspend services for accounts more than 15 days past due. All fees are non-refundable unless otherwise stated in writing. Chargebacks initiated without first contacting Latch to resolve a dispute may result in immediate termination of services and pursuit of any amounts owed.

5. Client Responsibilities

You agree to provide accurate, complete, and timely information necessary for Latch to perform its services. You are responsible for reviewing all work product delivered by Latch and notifying us of any errors within 30 days of delivery. Latch is not responsible for errors resulting from inaccurate or incomplete information provided by you.

6. Intellectual Property

All proprietary tools, templates, dashboards, processes, and systems developed by Latch remain the sole property of Latch Back Office LLC. Client data and financial records remain the property of the client. Upon termination of services, Latch will return or provide access to your financial data in a standard format within 14 business days.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared in connection with the services. Latch will not disclose your financial information to third parties except as required to perform services, comply with legal obligations, or as described in our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Latch Back Office LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services. Our total liability to you for any claims arising from or related to our services shall not exceed the total fees paid by you to Latch in the three (3) months preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, express or implied. Latch does not provide legal, tax, or investment advice. Any tax-related services are performed as a bookkeeping and preparation service only. You should consult a licensed attorney or CPA for legal and tax advice.

10. Termination

Either party may terminate services by providing 30 days written notice. Latch may terminate immediately for cause, including non-payment, violation of these Terms, or conduct harmful to our business or staff. Upon termination, you remain responsible for all fees owed through the termination date.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any disputes shall first be submitted to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

12. Changes to These Terms
We may update these Terms of Service from time to time. Material changes will be communicated via email or a notice on our website. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.

Latch promotional offers (including but not limited to gift cards, physical gifts, and service discounts) are available to qualifying businesses that meet all of the following requirements: (1) complete a scheduled pre-qualification call with a Latch representative, (2) provide requested financial statements or grant view-only access to accounting software, and (3) attend a scheduled live video demo with a Latch representative. All three steps must be completed prior to receiving any promotional item or discount. Eligibility requirements vary by offer and may include minimum annual revenue thresholds. Limit one promotional offer per business. Latch reserves the right to determine eligibility at its sole discretion and may deny any promotional offer to any applicant at any time for any reason. Offers are subject to availability and may be modified or discontinued without notice. Latch promotional offers are not affiliated with, endorsed by, or sponsored by any third-party brand, retailer, or gift card issuer.

Latch Partner Program Terms

1. EligibilityThe Latch Partner Program is open to individuals who own or operate a home service or construction business. Latch reserves the right to approve or deny any application at its sole discretion.

2. CommissionsApproved partners earn 20% recurring commission on the monthly subscription fee of every active client referred through their unique affiliate link. Commissions are paid for the lifetime of the referred client's active subscription.

3. Flat Fee PaymentsPartners may be offered a flat fee for approved content on a per-video basis. Flat fee amounts are agreed upon individually prior to content production. Latch is not obligated to purchase content from any partner.

4. PaymentsCommissions are paid on a Net 30 basis. Partners must reach a minimum balance of $50 before payment is issued.

5. Content GuidelinesAll content must accurately represent Latch and its services. Misleading claims, false promises, or misrepresentation of pricing or features are grounds for immediate termination.

6. Coupon CodesPartner coupon codes are for single use per customer and cannot be combined with other offers.

7. TerminationEither party may terminate the partnership with 30 days written notice. Latch reserves the right to terminate immediately for violations of these terms. Commissions earned prior to termination will be paid out on the next payment cycle.

8. ModificationsLatch reserves the right to modify these terms at any time with 14 days notice to active partners.
